Micropipe is supplied and licensed by Omega Solutions Cross Hills Limited, trading as NOW SELECT ("Omega", "we", "us"). We are a company registered in England and Wales, company number 13567755, with our registered office at 1b Fairfax House, Cottingley Business Park, Cottingley, Bingley, West Yorkshire, England, BD16 1PE. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's role covers payment, receipts, billing questions and refunds; support for Micropipe itself — using it, your licence and your saved work — is provided by Omega (clause 14.3).

1. These terms and who they apply to

1.1 These Terms of Sale and Licence ("these terms") are the agreement between you and Omega for your use of Micropipe. They are the "Supplier Agreement" referred to in Paddle's Buyer Terms.

1.2 Two agreements. When you buy a Micropipe licence you enter into two agreements at the same time: (a) a purchase contract with Paddle, governed by Paddle's Buyer Terms and Refund Policy, under which Paddle sells you the licence, charges you, issues your receipt and processes any refund; and (b) this licence agreement with Omega, which governs what Micropipe is, what you may do with it, how licences, renewals and your saved work operate, and our support to you. If these terms and Paddle's Buyer Terms conflict on a matter of payment, tax, invoicing or refund processing, Paddle's terms apply to that matter; on every other matter these terms apply.

1.3 Paddle. Depending on where you buy from, Paddle is Paddle.com Market Limited (company number 8172165, 30 Old Bailey, London EC4M 7AU, United Kingdom), Paddle.com Inc. (3811 Ditmars Blvd #1071, Astoria, New York 11105-1803, USA) or Paddle.com (Canada) Ltd. Paddle's Buyer Terms, Refund Policy and Privacy Notice are at paddle.com/legal.

1.4 Business or consumer. Micropipe is a professional engineering tool and most of our customers buy it for their business. If you are an individual buying wholly or mainly for purposes outside your trade, business, craft or profession, you are a consumer and you have additional legal rights that these terms do not take away; where a clause applies only to businesses or only to consumers it says so. Nothing in these terms limits any right you have under law that cannot be limited by agreement.

1.5 Acceptance. You accept these terms when you accept them at the checkout, and again whenever a licence key is claimed on a Device (clause 5). If you are buying for an organisation you confirm that you are authorised to accept these terms on its behalf and that it will ensure the people who hold its licences comply with them.

1.6 Language and copies. These terms, our Refund Policy and our Privacy Notice are published in English only and the contract is concluded in English; Micropipe itself is available in 26 languages. If a translation is ever provided, the English text governs. You can save or print these terms from the page where they are published. The version in force when you placed an Order governs that Order, subject to clause 19.

1.7 How an Order is placed. You choose a Term, a quantity and a currency on our checkout page, confirm the summary shown, and complete payment in Paddle's checkout, where you can review and correct your details before you confirm. The contract is made when Paddle confirms your payment; we then email the Purchaser the keys and the order page link. We keep a record of each Order, which the Purchaser can see on the order page; the contract itself is not separately filed.

2. Definitions

In these terms:

"Micropipe" or "the Service" means the Micropipe web application at now-select.com/micropipe/ and its related pages, including the checkout, the activation page, the order page and the emails the system sends.

"Order" means a purchase made through the checkout, containing one or more licence keys of the same Term.

"Purchaser" means the person who completes the checkout, identified by the email address given there. The Purchaser need not hold a licence.

"Key" or "licence key" means the code issued for each licence in an Order. A key is unclaimed until it is activated.

"Holder" or "licence holder" means the person who claims a key by activating it with their own email address on a device. The Holder's email address is the licence's registered address.

"Device" means the single machine — computer, tablet or phone — to which a claimed licence is bound; any browser on it may be used (clause 3.2).

"Term" means the type of licence by its length: annual, monthly, weekly or daily. The "paid period" of a licence is the period it has been paid for (for a free trial, the 30-day trial period).

"Subscription" means an Order for annual or monthly licences, which renews automatically.

"Projects" means the networks, projects and other content a Holder creates or imports in Micropipe and that Micropipe stores.

"Introducer" means a person or firm that has an agreement with us to introduce customers to Micropipe (clause 18).

"Working day" means Monday to Friday excluding public holidays in England.

3. The licence

3.1 Grant. Subject to payment and to these terms, we grant each Holder a non-exclusive, non-transferable licence to use Micropipe, on one Device per key, for the paid period of that key, for the Holder's own professional work — including design work the Holder carries out for clients or employers. We claim no rights in the results, reports and exports produced with Micropipe; who owns them as between a Holder and their employer or client is a matter for them.

3.2 One device. Each key licenses one Device. Any browser on that Device may be used. To use Micropipe on a second Device at the same time you need a second key. Moving a licence to a different Device is covered in clause 5.6.

3.3 Personal to the Holder. A claimed licence is personal to the Holder whose email address it is registered to. A Purchaser may release a claimed key through the order page so that a different person can claim it (clause 5.8); a Holder may not otherwise share, lend, sell or sublicense a key or a licence.

3.4 What you may not do. You must not, and must not allow anyone else to:

(a) share a key, a code or a bound Device with anyone else, or attempt to activate one key on more than one Device at a time;

(b) copy, modify, adapt, translate, decompile, disassemble or reverse-engineer Micropipe, or attempt to derive its source code, calculation methods, coefficients or reference data, except to the extent that applicable law allows this despite this restriction;

(c) access Micropipe by any automated means, scrape it, submit calculations other than through its own interface, or attempt to extract the data it holds;

(d) circumvent or interfere with the licence checks, device binding, rate limits or any other technical protection in Micropipe, or probe, scan or test its security without our written permission;

(e) remove or obscure any notice of ownership in Micropipe or its output;

(f) use Micropipe to build a competing product, or for any purpose that is unlawful or that infringes anyone's rights;

(g) store or import into Micropipe any content that is unlawful or that you do not have the right to use.

3.5 Ownership. Micropipe, its calculation methods, its reference data and everything in it except your Projects belong to Omega and our licensors and are protected by copyright, database right and other intellectual property laws. Nothing in these terms transfers any of them to you. Your Projects remain yours (clause 13).

3.6 Feedback. If you give us suggestions or feedback about Micropipe we may use them without obligation to you.

4. How Micropipe works — functionality and compatibility

4.1 Runs in the browser; calculates on the server. Micropipe is delivered to your browser from our server and every calculation is performed on our server. The underlying reference data and calculation methods are never sent to or stored on your Device; your browser receives only the lists and ranges needed to display the forms. An internet connection is therefore required to calculate; without one, Micropipe opens read-only and you can view, export and print saved Projects but not calculate or create new ones.

4.2 Technical protection. Each licence is bound to one Device by a security token held by your browser together with a check of your Device's characteristics. The licence is verified when Micropipe loads and on every calculation. One calculation runs at a time per licence; a second request while one is running is asked to wait.

4.3 Compatibility. Micropipe requires a current version of a mainstream desktop or mobile browser with JavaScript, cookies and local storage enabled. [E1] Clearing your browser's site data for now-select.com removes the licence token and your local working copy of Projects; Micropipe will ask for the key and a code sent to the Holder's registered email address, and Projects are restored from our server.

4.4 Email is essential. Claiming a key, moving a licence to another Device, and certain other actions require a six-digit code emailed to the Holder. At the claim step the code goes to the address the Holder enters, which becomes the registered address; after that, codes are sent only to the registered address. If you cannot receive email at that address you cannot complete those actions; see clause 14.4.

4.5 Updates. We improve Micropipe from time to time. Updates are applied on our server and in the copy served to your browser; you may be asked to reload the page. Micropipe saves your work before it reloads. A change that alters the way calculations are requested requires an immediate reload before you can calculate again.

4.6 Units and languages. Projects are stored in SI units and can be displayed in metric or imperial units and in any of the 26 supported languages. Changing the display setting does not change the stored values.

5. Keys, claiming, codes and devices

5.1 Keys issued at purchase. When Paddle confirms your payment, we email the Purchaser the keys in the Order together with a link to the order page. Each key is unclaimed until it is activated.

5.2 Unclaimed keys are bearer credentials. Until a key is claimed, anyone who has it can claim it. Keep keys as you would keep a password, and hand each one only to the person who is to hold it. We are not responsible for a key claimed by someone the Purchaser gave or showed it to.

5.3 Claiming. To claim a key, the Holder enters the key and their own email address on the activation page on the Device they will use, and then enters the six-digit code we email to that address. On success the key is bound to that Device and registered to that email address. The registered address should be the Holder's own individual address: shared or role addresses (such as info@ or accounts@) are warned against, because anyone with access to the mailbox can receive the Holder's codes, but we do not refuse them.

5.4 Codes. Codes are six digits, valid for ten minutes and for a single use, with five attempts. Once a key is claimed, codes are sent only to the registered address, never to an address typed into a form. Our staff never see a code.

5.5 Expiry of unclaimed keys. A weekly or daily key that is not claimed within 90 days of issue expires and cannot be claimed. Annual and monthly keys remain claimable for as long as their Subscription is live; the Subscription renews and is charged whether or not its keys have been claimed, until the Purchaser cancels it.

5.6 Moving to another Device. A Holder may move their licence to a different Device by entering the key and a fresh code on the new Device. Micropipe then disconnects the old Device. Up to three moves are allowed in any rolling 90-day period; a pattern of moving back and forth between Devices is flagged to our staff and may be treated as sharing. Beyond the limit, or where a code cannot be received, contact support.

5.7 Losing access. If a browser on your Device no longer holds the licence token (for example after clearing site data, or because you have opened a different browser on the same Device), Micropipe asks for the key and a fresh code and restores the licence without counting a move. If the Device is not recognised, clause 5.6 applies.

5.8 The order page. The Purchaser can open an order page through a signed link in the order email; a fresh link can be requested to the Purchaser's email address at any time. The order page shows each key, whether it has been claimed and by which address, its activation and expiry dates and the Order's currency, and lets the Purchaser release a claimed key so that a different person can claim it. Releasing a key counts as a move under clause 5.6 and disconnects the previous Holder's Device. The previous Holder's Projects stay on that Holder's record (clause 13.1), so before releasing a key have the Holder export any Projects the organisation needs (clause 13.3).

6. Prices, currency and payment

6.1 Prices. Our current prices are in Schedule 1 and are shown at the checkout before you pay. Prices are exclusive of VAT and other sales taxes; the applicable tax for your location is calculated and added by Paddle at the checkout and shown before you confirm.

6.2 Currency. You may choose to pay in pounds sterling, US dollars or euros; the public page and the checkout show the prices in the currency selected. Prices in each currency are fixed by us, not converted at the time of purchase. The currency chosen at the checkout applies to that Order for its whole life, including every renewal, and is shown on the order page and in every charge notice; changing the currency shown on our pages later has no effect on an existing Order.

6.3 Payment. Payment is by card through Paddle's checkout. We do not offer payment by invoice or bank transfer and do not process purchase-order numbers. Paddle is the seller of record and issues your receipt or VAT invoice. If you are registered for VAT in a country other than the United Kingdom you may enter your VAT number at the checkout and Paddle will apply the appropriate treatment.

6.4 Introduced customers. If you reach the checkout through an Introducer's link, the price shown includes that Introducer's uplift to our list price, and the price shown at the checkout is the price you pay. On each renewal of an introduced Subscription the price is our list price plus the Introducer's uplift in force at the time of the renewal, which may differ from the uplift when you bought; the amount is always stated in the charge notice (clause 7.3).

6.5 Mistakes. If a price is obviously wrong and you could reasonably have recognised it as an error, we may cancel the affected Order and Paddle will refund you in full.

6.6 Price changes. We may change our prices at any time. A change to the list price applies to new Orders at once, and to an existing Subscription from the first renewal that falls at least 30 days after we have told the Purchaser of the change by email — for an annual Subscription that is normally the next renewal, notified in the 30-day charge notice; for a monthly Subscription we send a separate notice. The renewal amount is always stated in the charge notice before the charge (clause 7.3); if it has increased since your last charge, the Purchaser may cancel before the renewal date and nothing further is charged.

7. Annual and monthly licences — Subscriptions

7.1 One Subscription per Order. An Order for annual or monthly keys is a single Subscription with Paddle: all its keys share one renewal date and one charge. The first period runs from the date of purchase (or from the end of a free trial); each key expires at the Subscription's next renewal date regardless of when it was claimed, so claim keys promptly.

7.2 Automatic renewal. At the end of each paid period the Subscription renews for a further period of the same length and Paddle charges the Purchaser's payment method for every key then on the Order, at the price determined under clauses 6.4 and 6.6, in the Order's currency, until the Purchaser cancels or reduces it. By placing a Subscription Order you authorise Paddle to take these recurring payments.

7.3 Charge notices. We email the Purchaser before each renewal charge — 30 days and 7 days before an annual charge, and 7 days before a monthly charge — stating the amount, the currency, the date and how to cancel. Paddle may also send its own reminder where the law of your country requires it.

7.4 Cancelling a Subscription. The Purchaser may cancel at any time through Paddle's customer portal, reached from the link in any charge notice or on the order page (the Purchaser signs in to the portal with a link emailed to the Purchaser's address; no password is needed). Cancellation takes effect at the end of the paid period; the keys keep working until then and nothing further is charged. Cancellation does not refund the current paid period except where the Refund Policy says otherwise.

7.5 Dropping a key from an Order. The Purchaser may reduce the number of keys on a Subscription from the order page, naming the key to be removed. The removed key expires at the Subscription's next renewal date and is not charged thereafter. We email the key's Holder when it is named for removal and again on the day it expires.

7.6 Adding keys. Additional keys are bought as a new Order with its own renewal date. Annual and monthly keys are never on the same Order.

7.7 If a renewal payment fails. If Paddle cannot take a renewal payment, every key on the Order stops calculating at the end of the paid period, exactly as it would on expiry, and shows a message explaining why; Paddle retries the payment over the following weeks and the Purchaser is emailed a link to update the card. As soon as a retry succeeds, the keys resume automatically. If Paddle's retries are exhausted without payment, the Subscription is cancelled and the keys expire. Saved work remains available read-only throughout (clause 10.3).

7.8 Pausing. Subscriptions cannot be paused.

8. Weekly and daily licences

8.1 A weekly or daily key is a one-off purchase. Its paid period runs from the moment it is claimed (seven days or one day respectively) and it does not renew. Unclaimed weekly and daily keys expire 90 days after issue (clause 5.5).

8.2 A weekly or daily licence may be moved to another Device under clause 5.6 like any other.

9. Free trial

9.1 What it is. The trial gives one Holder 30 days' use of Micropipe on one Device, free of charge, on the annual licence. Card details are taken at the start but nothing is charged until the trial ends.

9.2 Conversion. Unless the trial is cancelled before it ends, the annual price is charged when the trial ends and the licence becomes an ordinary annual Subscription (clause 7). Micropipe shows the Holder the trial end date, and the Purchaser is emailed 7 days before the first charge. The trial can be cancelled at any time through Paddle's customer portal; a cancelled trial runs to the end of its 30 days and then stops, and nothing is charged.

9.3 One trial per email address. If a trial key is claimed with an email address that has already had a trial, the claim is refused and the trial Subscription is cancelled; if a charge had already been taken because the key was claimed after conversion, it is refunded.

9.4 Consumers. If you are a consumer, you have 14 days from the first charge to withdraw and receive that charge back; see the Refund Policy.

10. Expiry and what happens afterwards

10.1 No grace period. A licence stops calculating when its paid period ends. Micropipe warns the Holder beforehand: on an annual licence at 30, 14, 7 and 1 days; on a monthly licence at 7 and 1 days; on a weekly licence 1 day before; on a daily licence, at expiry. On an auto-renewing licence these warnings appear only if the Subscription is due to end — because it has been cancelled, the key has been named for removal, or a renewal payment has failed.

10.2 Renewal after expiry. Buying a new key later and claiming it with the same email address restores access to the Projects on that address's record, provided they have not yet been deleted under clause 10.4.

10.3 Read-only access. After a licence expires, the bound Device can still open Micropipe read-only for 90 days: saved Projects can be viewed, exported and printed, but not calculated or edited, and new Projects cannot be created.

10.4 Deletion of Projects. 90 days after a licence expires without renewal, the Projects on the Holder's record are permanently deleted. We email the registered address 30 days and 7 days before deletion. Export anything you want to keep before then. A trial that is not converted is treated in the same way from the day it ends.

11. Consumers' right to withdraw from a purchase — and when it is lost

This clause applies only if you are a consumer (clause 1.4). Businesses have no right to withdraw from a completed purchase; see the Refund Policy for the circumstances in which we refund.

11.1 The right. Consumers who buy online normally have the right to withdraw from the purchase for any reason within 14 days of the day the contract is made (the day Paddle confirms your payment) and receive a full refund. For a Subscription this right attaches to the first payment, not to later renewal payments, except as set out in 11.4 and 11.5.

11.2 How Micropipe is supplied. Micropipe is digital content supplied online. Your keys are issued, and Micropipe is available to you, the moment the purchase completes. The law allows a consumer to agree to immediate supply and, in doing so, to give up the 14-day right.

11.3 Your confirmation at the checkout. Before you can complete a purchase, the checkout asks you to confirm that you want Micropipe made available to you immediately and that you understand you will lose your right to withdraw. The purchase cannot be completed without that confirmation. By giving it you lose the right to withdraw from the moment the purchase completes and your keys are issued, for every key on the Order. If you would rather keep the right, do not complete the purchase. Your order confirmation email records your consent to immediate supply and your acknowledgement that the right to withdraw is lost.

11.4 After a free trial. If a trial converts to a paid Subscription you have a fresh 14-day period from the day of the first charge to withdraw and receive that charge back, regardless of the confirmation you gave at the start of the trial.

11.5 Annual renewals in the United Kingdom. If you bought in the United Kingdom and hold an annual Subscription, you have a fresh 14-day period from each annual renewal to withdraw and receive that renewal payment back.

11.6 How to withdraw. Tell Paddle or us, before the period ends, in any clear statement — by the "Request refund" option at paddle.net, by replying to your receipt, or by email to support@omega-solutions.co.uk — or use the model cancellation form in Schedule 2. Quote your order reference. The refund is made by Paddle, to the payment method you used, within 14 days of your notice. Keys on the withdrawn purchase (or, under 11.4 and 11.5, on the refunded Subscription) are revoked when the refund is made, and their Holders keep read-only access under clause 10.3.

11.7 Your other rights. Separately from the right to withdraw, as a consumer you are entitled to digital content that is of satisfactory quality, fit for its purpose and as described, to have the service elements of Micropipe performed with reasonable care and skill, and to the remedies the Consumer Rights Act 2015 provides if they are not. Nothing in these terms affects those rights.

12. Refunds, revocation and chargebacks

12.1 Refunds are governed by our Refund Policy at now-select.com/micropipe/refunds, which forms part of these terms, and are processed by Paddle.

12.2 Effect of a refund on the licence. A full refund of an Order revokes every key on that Order immediately. A partial refund removes from the Order the number of whole keys the refunded amount covers at the Order's unit price: the Purchaser names the keys on the order page, the named keys are revoked immediately and their Holders emailed, and the Order's next renewal is reduced accordingly. A refund of less than one key's price leaves the Order unchanged. A revoked key's Holder keeps read-only access to their Projects under clause 10.3.

12.3 Chargebacks. If a payment is reversed through your bank or card issuer, every key on the affected Order is revoked and its Devices disconnected immediately. If the reversal is later overturned the keys are restored and the Devices reconnected automatically. Please contact Paddle or us before disputing a charge; most problems can be resolved without one, and a chargeback cuts off every Holder on the Order.

13. Your Projects and your data

13.1 Where they are. Projects are saved to our server in the United Kingdom as you work; your browser also keeps a local working copy. The server copy is the master. Projects are stored on the record of the Holder whose registered address they were created under and remain available to that Holder across Devices and renewals; they are not tied to a particular key.

13.2 Yours, not ours. As between you and us, your Projects and everything you put into them are yours; we claim no rights in them beyond the licence we need to store, display, calculate, back up and support them for you under these terms. Ownership as between a Holder and the Holder's employer or client is governed by their own arrangements, not by these terms. You are responsible for the content of your Projects, for having the right to use it, and for the results you draw from it (clause 15).

13.3 Export and import. You may export any Project at any time as a file, and import files into any Micropipe licence; this is how colleagues share work. Exported files carry the Project's name and content only, not your identity. Files from the previous Windows version of Micropipe can be imported.

13.4 Our staff's access. To support you or to resolve a problem with the Service, our staff can open and edit your Projects. Access is restricted to named staff with that permission, and every opening and every save by a member of staff is logged with the time and the person. Introducers never have access to Projects. We do not use the contents of your Projects for any purpose other than providing and supporting the Service and complying with the law.

13.5 Retention. Projects are kept while you hold a licence and for 90 days after it expires, then deleted (clause 10.4). Your customer record is kept for six years from the later of your last licence expiring and your last purchase, and the record of changes to it for six years from each entry. Our Privacy Notice at now-select.com/micropipe/privacy describes what personal data we hold, why, for how long, and your rights.

13.6 Your own copies. Our server is backed up as part of our hosting, but you are responsible for keeping your own exported copies of work that matters to you.

14. Availability, changes and support

14.1 Availability. We aim to keep Micropipe available at all times but we do not promise any particular level of availability and we do not offer a service-level agreement. Micropipe may be unavailable for maintenance, updates, or for reasons outside our control such as internet or hosting failures.

14.2 Changes to the Service. We may change, add to or remove features of Micropipe, and update its reference data, at any time. We will not remove a feature that is a main characteristic of what you bought during a paid period without offering a refund for the unused part of that paid period. [S6]

14.3 Support. Support is by email to support@omega-solutions.co.uk or telephone to +44 (0)1535 322111, Monday to Friday 09:00–17:00 UK time. We respond by the next working day. Support covers using Micropipe and your licence; it does not include engineering advice on your designs. Billing, receipt and refund questions are handled by Paddle at paddle.net.

14.4 If codes do not arrive. If a code email does not reach the registered address — for example because of a corporate mail filter — contact support during support hours. Where we are satisfied of the Holder's identity, a member of staff can bind the Device without a code; this is logged with the reason. We do not provide out-of-hours assistance.

15. Engineering responsibility

15.1 A calculation aid, not a substitute for engineering judgement. Micropipe performs pipe-sizing and related calculations from the inputs you give it and the reference data it holds. Its output depends entirely on the accuracy and completeness of your inputs, on the selections you make, and on the applicability of its methods and data to your system.

15.2 You remain responsible for the design. You (or the competent, suitably qualified person you work under) are responsible for checking Micropipe's output before relying on it, for deciding whether its results are appropriate to the installation in question, and for ensuring that any design, specification or installation complies with the laws, regulations, codes of practice and standards that apply to it. Micropipe does not certify compliance with any standard.

15.3 Reference data. We maintain Micropipe's refrigerant, fluid and pipe data with care and update it from time to time. Published data for refrigerants and materials varies between sources and editions, and a correction to our data can change the results of a saved Project when it is recalculated. Where a result matters, record the version and date of the calculation.

15.4 Safety-critical use. Micropipe is not designed for use as the sole means of determining safety-critical parameters, such as pressure-relief protection, without independent verification by a competent person.

16. Warranties and liability

16.1 Consumers. If you are a consumer, you have the legal rights summarised in clause 11.7, and nothing in this clause 16 limits our liability for breach of them, for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.

16.2 Our commitments to everyone. We will provide Micropipe with reasonable care and skill and substantially as described on our public page and in these terms.

16.3 Businesses — no other warranties. If you are a business, Micropipe is otherwise provided as described and as available; all other warranties, conditions and terms implied by law or trade usage are excluded to the fullest extent the law allows. We do not warrant that Micropipe will be uninterrupted or error-free, that it will meet your particular requirements, or that any result is suitable for a particular installation.

16.4 Consumers — what we are responsible for. If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, but not for loss that was not foreseeable when the contract was made, and not for loss arising from a design, specification, installation or decision made in reliance on Micropipe's output, which remains your responsibility under clause 15.

16.5 Businesses — what we are not liable for. If you are a business, and subject to clause 16.7, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: (a) any loss of profit, revenue, business, contracts or anticipated savings; (b) loss of or damage to data; (c) any indirect or consequential loss; (d) any loss arising from a design, specification, installation or decision made in reliance on Micropipe's output, which remains your responsibility under clause 15; (e) any loss caused by your failure to keep keys and codes secure, by your use of a shared mailbox, or by your own equipment, connection or browser; or (f) any failure caused by events outside our reasonable control.

16.6 Cap for businesses. Subject to clauses 16.5 and 16.7, our total liability to a business customer arising out of or in connection with Micropipe and these terms in any 12-month period is limited to the total amount paid for Micropipe licences by that customer in the 12 months before the event giving rise to the claim.

16.7 Non-excludable liability. Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.

17. Suspension and termination

17.1 By you. You may stop using Micropipe at any time. To stop a Subscription being charged again, cancel it under clause 7.4.

17.2 By us for breach. We may suspend or revoke a licence, or terminate these terms, with immediate effect by notice to the Purchaser or Holder if: (a) a key, code or Device is shared or the technical protections are circumvented or attacked (clause 3.4); (b) we reasonably believe an Order was made fraudulently; (c) you commit any other material breach of these terms that is not remedied within 14 days of our asking; or (d) we are required to by law or by Paddle. A chargeback has the consequences in clause 12.3 and no others. Where a licence is revoked for breach, no refund is due for the unused paid period.

17.3 Effect. On expiry, revocation or termination the licence to use Micropipe ends; clauses 3.4, 3.5, 10.3, 10.4, 13, 15, 16, 19.4 and 20 continue to apply. A revoked Holder keeps read-only access to Projects for the 90-day period in clause 10.3.

17.4 Ending the Service. If we withdraw Micropipe altogether we will give at least 90 days' notice by email to every Purchaser and Holder, keep read-only access available until the end of that period, and refund the unused part of any paid period.

18. Introducers

18.1 We work with Introducers who introduce customers to Micropipe through their own checkout link. An Introducer is not our agent and has no authority to make promises on our behalf, vary these terms, or issue licences. Your contract is with Omega (and, for the purchase, with Paddle), not with the Introducer.

18.2 An Introducer can see the Orders, licences and licence-holder details of the customers it introduced, in order to support them, and sets the uplift included in the price shown on its link; it cannot see Projects. Our Privacy Notice describes this in more detail.

19. Changes to these terms

19.1 We may change these terms from time to time. The current version is always published at now-select.com/micropipe/terms with its date.

19.2 For an existing Subscription, a change that is to your detriment takes effect only from the next renewal after we have given the Purchaser at least 30 days' notice by email; if the Purchaser does not accept it, the Subscription may be cancelled before that renewal and nothing further is charged. Changes required by law, or that correct an error or add a feature without reducing what you have paid for, may take effect immediately.

19.3 A one-off licence (weekly or daily) is governed by the terms in force when it was bought.

19.4 Changes to the Service itself are covered by clause 14.2.

20. General

20.1 Entire agreement. These terms, the Refund Policy, the Privacy Notice and, for the purchase, Paddle's Buyer Terms are the whole agreement between you and us about Micropipe. If you are a business you confirm that you have not relied on any statement not set out in them.

20.2 Transfer. We may transfer our rights and obligations under these terms to another organisation (for example if the business is sold); your rights are not affected and we will tell you. You may not transfer yours except by releasing a key for another person to claim under clause 5.8.

20.3 Third parties. Only you, we and (for the matters in clause 1.2(a)) Paddle may enforce these terms.

20.4 Severance and waiver. If any part of these terms is found unenforceable the rest continues in force. A delay in enforcing these terms is not a waiver.

20.5 Notices. We send notices by email to the Purchaser's and Holder's registered addresses, from noreply@now-select.com; keep them current and check your spam folder. You may send notices to support@omega-solutions.co.uk or to our registered office.

20.6 Events outside our control. We are not responsible for a failure or delay caused by events outside our reasonable control.

20.7 Complaints. If you are unhappy with Micropipe or our service, email support@omega-solutions.co.uk and we will respond by the next working day. We are not a member of any alternative dispute resolution scheme. Complaints about billing or refunds go to Paddle at paddle.net.

20.8 Governing law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, except that: if you are a consumer living in Scotland or Northern Ireland you may bring proceedings in your own courts; and if you are a consumer living outside the United Kingdom you keep the protection of any mandatory rules of the law of the country where you live and may bring proceedings in the courts of that country.
